Since 2020, when we became signatories to the Business Pact for Integrity and Against Corruption from the Ethos Institute of Business and Social Responsibility, we have had an Integrity Program. Developed in accordance with Brazilian legislation, especially the anti-corruption measures established in Law No. 12,846/2013 and Decree No. 11,129/2022, it is based on six pillars.
In 2023, we were recognized as a Pró-Ética Company 2022-2023 by the Office of the Comptroller General (CGU), reflecting our commitment to implementing integrity practices, preventing, detecting, and remediating acts of fraud and corruption, and the maturity and soundness of our Integrity Program.

We promote ethics and transparency at all levels of Itaúsa. Senior management support is the foundation of integrity initiatives. In 2023, Integrity Program indicators were periodically reported and monitored for the Board of Executive Officers and Board of Directors, via the Audit and Risk Committee and Audit Committee, respectively, along with exclusive training on ethics, integrity, and respect for Senior Management members.
We have built a set of internal regulations serving as a guide for our business conduct, seeking compliance with applicable laws and best market practices. In 2023, updates to the Compliance and Integrity Policy and the Risk Management Policy were approved and disclosed by the Board of Directors.
The 2023 training and communication plan was approved by Senior Management, covering topics such as: Ethics Day, respect in relationships, discrimination and moral harassment, guidelines on gifts and entertainment, Anti-Corruption Day, among others.
We provide internal and external audiences with an independent, confidential, and secure channel. Monitoring of indicators related to this Channel is reported to the Board of Executive Officers and the Board of Directors.
We continuously assess integrity risks, implementing mitigation actions for prevention or detection of weaknesses. In addition to corporate risks, we have an integrity risk matrix approved by the Board of Directors.
We are committed to transparency and our role in society. In 2023, we joined the UN Global Compact, committing to its ten universal principles.
The Itaúsa Integrity Program consolidates the guidelines adopted by Itaúsa to reinforce the prevention, detection, and correction of irregularities, fraud, and corruption through internal integrity mechanisms and regulations, actions, and internal controls.
Our program was developed in accordance with Brazilian legislation, especially the anti-corruption measures established in Law No. 12,846/2013 and Decree No. 8,420/2014.
